EQUALS3 Ltd is a company registered in England and Wales (Company No. 15186426) with its registered address at Upton Lane, Stroud, GL4 0UT, United Kingdom.

By accessing or using our Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Website or services.

EQUALS3 is a growth consultancy specialising in the aesthetics industry. Our services include but are not limited to:

• Strategic growth consulting for aesthetic clinics, from solo practitioners to multi-site operations.
• Operational strategy, pricing optimisation, and data analytics for aesthetic businesses.
• Consulting for organisations, suppliers, brands, and industry bodies within the aesthetics sector.
• Speaking engagements, training, and thought leadership.

The specific scope, deliverables, timelines, and fees for any consultancy engagement will be agreed in writing between us and the client before work commences. These Terms apply in addition to any separate engagement agreement.

You agree to use our Website only for lawful purposes and in a way that does not:

• Infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Website.
• Breach any applicable local, national, or international law or regulation.
• Transmit any material that is defamatory, offensive, or otherwise objectionable.

We reserve the right to restrict access to the Website, in whole or in part, at our discretion without notice.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Where our liability is not excluded, our total aggregate liability to you shall not exceed the fees paid by you to us in the 12 months preceding the claim, or £1,000, whichever is greater.

Our Website may contain links to third-party websites or services that are not owned or controlled by EQUALS3 Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

In the course of providing our consultancy services, both parties may share confidential business information. Each party agrees to keep such information confidential and not to disclose it to any third party without prior written consent, except where required by law.

This obligation of confidentiality survives the termination of any engagement between us.

This section governs your purchase and use of the Clinic Growth Toolkit (“the Toolkit”), a paid digital product sold under our EQUALS3 Clinic Growth sub-brand at equalsthree.co.uk/clinic-growth/toolkit. Where this section conflicts with general provisions elsewhere in these Terms, this section governs for matters relating to the Toolkit.

10.1 What you are purchasing

A one-time purchase of £99 grants a single-seat, non-transferable account with:

• Lifetime access to the Toolkit's template library as it exists at time of purchase, plus subsequent additions made available to all members.
• A capped allocation of 20 runs per AI generator included at launch (the Clinic Archetype Diagnostic and the Pricing Architecture Generator). Additional generators released after your purchase may carry different allocations or require a separate purchase.
• The right to purchase additional “top-up” runs (currently £29 for an additional 20 runs per generator). Top-up runs do not expire but are non-transferable between generators or accounts.

“Lifetime” means for the operational life of the Toolkit product. We reserve the right to discontinue the Toolkit with at least 90 days' notice and to provide a reasonable means for members to download or export their content during that wind-down period.

10.2 Refund policy

We offer a 14-day refund on the initial £99 purchase only if all of the following conditions are met:

• The refund request is received within 14 calendar days of the original purchase date as recorded by Stripe.
• No AI generator credit has been used on the account. Each successful generator run consumes one credit and is logged immutably; even one consumed credit makes the purchase non-refundable.
• No template has been downloaded from the gated members area. Each download is logged; a single download triggers ineligibility.

By purchasing the Toolkit you acknowledge that the AI generators and templates are digital content supplied with your express consent before the end of the standard fourteen-day cancellation period under the Consumer Contracts Regulations 2013, and you accept that your right to cancel is lost the moment you use any AI generator credit or download any template. This consent is recorded as part of the checkout process.

Top-up purchases (additional generator runs) are non-refundable once any credit on the topped-up generator has been used after the top-up was applied. An unused top-up is refundable within 14 days of the top-up purchase date.

Refund requests should be sent to Team@equalsthree.co.uk with the email address used at checkout. Approved refunds are returned via Stripe to the original payment method within 5–10 business days.

10.3 AI generator acceptable use

The AI generators may be used for genuine commercial diagnostics on a single clinic operation owned or operated by the account holder. The following are prohibited:

• Reselling, sublicensing, or providing the generators as a service to third parties.
• Using the generators to produce outputs for clinics not owned or operated by the account holder, including coaching, agency, or consulting work for third parties.
• Attempting to extract, reverse-engineer, or systematically copy the underlying system prompts, framework, or training data.
• Account sharing across individuals or businesses. Each Toolkit purchase is single-seat.

We reserve the right to suspend or terminate accounts found in breach of this clause without refund.

10.4 Content licensing

Outputs generated by the AI generators using your inputs are yours to use commercially within your own clinic operation. The underlying Clinic Growth Playbook framework, system prompts, archetype taxonomy, and template files remain the intellectual property of EQUALS3 Ltd and are licensed for your personal commercial use only.

10.5 Sub-processors

We use the following sub-processors to deliver the Toolkit. By purchasing you agree to your data being processed by them under their respective terms:

• Stripe — payment processing.
• Clerk — magic-link authentication.
• Neon — managed PostgreSQL hosting (account, purchase, credit, generation, and download records).
• Anthropic — large language model used to power the AI generators. Anthropic does not train models on your data.
• Vercel — application hosting and gated file storage.
• GoHighLevel (GHL) — email delivery for purchase confirmation and welcome sequence.

We may terminate or suspend your access to our Website at any time, without prior notice or liability, for any reason, including if you breach these Terms.

For consultancy engagements, termination terms will be set out in the relevant engagement agreement. In the absence of specific terms, either party may terminate by providing 30 days' written notice.

We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page with an updated “last updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
